By accessing or using the Close Direct website and platform (the "Service"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.
2. Eligibility and Accounts
You must be at least 18 years old and able to enter into a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate and complete information and to keep it current.
3. The Service
Close Direct provides a platform that connects title and escrow companies, signing services, and mobile notaries to schedule, manage, and complete document signings. Close Direct is not a party to the signing engagement between a client and a notary and does not provide legal advice or notarial services.
4. Notary Responsibilities
Notaries represent that they hold a valid commission, maintain all required credentials and insurance, and will perform each signing in compliance with applicable law. Notaries are independent contractors and not employees of Close Direct.
5. Client Responsibilities
Clients agree to provide accurate order details, timely documents, and prompt payment of invoices for completed signings in accordance with the fees agreed on the platform.
6. Fees, Invoicing, and Payouts
Fees for signings are displayed on each order. Close Direct may issue invoices on behalf of the platform and facilitate payouts to notaries. Late or disputed payments may result in suspension of access.
7. Acceptable Use
You agree not to misuse the Service, including by uploading unlawful content, interfering with the operation of the platform, attempting to access data belonging to other users, or circumventing security controls.
8. Confidentiality and Documents
Closing documents and personal information shared through the Service are confidential. You agree to use such information only for the purpose of completing the signing and to protect it from unauthorized access.
9. Intellectual Property
The Service, including its software, design, and content, is owned by Close Direct and protected by applicable intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service.
10. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, Close Direct will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising out of or related to your use of the Service.
12. Termination
We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason with reasonable notice.
13. Governing Law
These terms are governed by the laws of the jurisdiction in which Close Direct is organized, without regard to conflict-of-law principles.
14. Changes to These Terms
We may revise these Terms & Conditions from time to time. Continued use of the Service after changes are posted constitutes acceptance of the revised terms.
